Terms of Service

1. Agreement
These terms form a binding agreement between OctaneIQ LLC, a Wyoming limited liability company located at 1603 Capitol Ave Ste 415, Cheyenne, WY 82001, and the organization that subscribes to OctaneIQ ("Customer"). By creating a workspace or connecting an integration, you accept them on behalf of your organization.
2. The service
OctaneIQ ingests billing, product usage, support and CRM signals, produces a daily churn risk score per account, and executes the intervention playbooks Customer configures. Scores are probabilistic predictions, not guarantees of outcome; Customer remains responsible for all commercial decisions made using them.
3. Plans, seats and usage
Subscriptions are sold per workspace with plan-based limits on tracked accounts, seats, automation rules and data history. Exceeding a limit does not interrupt scoring; we will notify workspace admins and apply overage or an upgrade at the next billing cycle.
Free trials run 14 days with no card required. At trial end the workspace becomes read-only until a plan is selected; connected integrations stay authorized so work can resume without re-onboarding.
4. Fees and billing
Fees are billed in advance, monthly or annually, in USD via our payment processor and are non-refundable except where required by law. Annual plans are discounted and renew automatically unless cancelled before the renewal date. Failed payments suspend automation execution after 10 days' notice.
Taxes are Customer's responsibility unless we are legally required to collect them.
5. Customer data and ownership
Customer retains all rights to data it submits or connects. Customer grants OctaneIQ a limited licence to process that data to operate the service, including model scoring within Customer's own tenant. OctaneIQ owns the platform, models, and any aggregated, de-identified statistics that cannot identify Customer or its end users.
6. Acceptable use
Customer must not use OctaneIQ to send unlawful, deceptive or unsolicited bulk communications; to make automated decisions with legal or discriminatory effect on individuals; to reverse-engineer or benchmark the platform for a competing product; or to upload data it lacks the right to process. We may suspend a workspace that creates a security, legal or deliverability risk, with notice where practicable.
7. Third-party integrations
Connections to billing, analytics, messaging and CRM providers are made at Customer's direction and are governed by those providers' own terms. We are not responsible for their availability, rate limits or data accuracy, and a provider outage may delay scoring or playbook delivery.
8. Availability and support
We target 99.9% monthly uptime for the application and API, excluding scheduled maintenance announced at least 48 hours ahead. Support is available Monday to Friday, 9am–6pm Mountain Time, with priority response on Scale and Enterprise plans.
9. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under this agreement. Obligations survive termination for three years, and indefinitely for personal data and security materials.
10. Warranties and liability
The service is provided without implied warranties of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and OctaneIQ's total liability is capped at the fees paid in the 12 months preceding the claim.
11. Term and termination
Either party may terminate for convenience at the end of the current billing period, or immediately for uncured material breach after 30 days' written notice. On termination, Customer may export its data for 30 days, after which it is deleted per our Privacy Policy.
12. Governing law
This agreement is governed by the laws of the State of Wyoming, excluding its conflict-of-law rules. Disputes are resolved in the state or federal courts located in Laramie County, Wyoming.
13. Changes to these terms
We may update these terms with 30 days' notice to workspace admins. Continued use after the effective date constitutes acceptance. Questions: help@octaniq.co or +1 (307) 620-8534.
